Thought Leadership Studios LLC Media Production Purchase Terms and Conditions

This Agreement is made by and between Thought Leadership Studios LLC (“TLS”) and the Purchaser (“Client”). By purchasing TLS media production services, the Client agrees to the terms and conditions outlined on this webpage.

1. Ownership of the Finished Product

Upon full payment for services, the Client obtains full ownership of the finished product, including all associated rights to use, distribute, and modify the content.

2. TLS Promotional Use

TLS and any affiliates/subsidiaries retain the right to use the Client’s finished product, in whole or in part, for promotional purposes, including showcasing the work in marketing materials, portfolios, and on the TLS website or social media channels.

3. Revisions Policy

• The Client may request up to two (2) revisions at no additional cost.

• Revisions are limited to “post-production” changes, such as adjustments to graphics, text, or other elements that don’t require re-recording content.

• Requests for additional revisions or revisions outside the scope of “post-production” will incur an additional fee to be determined by TLS.

4. Deliverables

All specific deliverables, including the scope of work, format, and delivery timeline, are outlined in the Client’s payment link, QR code, or invoice. Any variations from these outlined deliverables must be agreed upon in writing by both parties.

5. Payment Terms

• Payment is required in accordance with the terms stated on the payment link, QR code, or invoice.

• Late payments may incur a fee, and TLS reserves the right to withhold deliverables until full payment is received.

6. Jurisdiction and Dispute Resolution

• This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

• Any disputes arising under this Agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Virginia, and the decision of the arbitrator will be final and binding on both parties.

7. Force Majeure

TLS is not liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, labor disputes, or technical failures.

8. Confidentiality

TLS agrees to keep all Client-provided materials and information confidential and to use them solely for the purpose of fulfilling the obligations under this Agreement.

9. Limitation of Liability

TLS is not liable for indirect, incidental, or consequential damages arising from the use of the finished product. The total liability of TLS under this Agreement is limited to the amount paid by the Client for the services.

10. Warranties and Representations

• The Client warrants that all materials provided to TLS for inclusion in the project are free of third-party claims and do not infringe on any intellectual property rights.

• TLS warrants that the finished product will conform to the agreed-upon specifications as outlined in the payment link, QR code, or invoice.

11. Refund Policy

All sales are final. TLS does not offer refunds except in cases where TLS fails to deliver the finished product as outlined in the Client’s payment link, QR code, or invoice.

• If TLS is unable to provide the agreed-upon deliverables due to its own fault, the Client is entitled to a full refund of the amount paid.

• Refunds will not be issued for delays caused by the Client, changes in the Client’s needs, or revisions beyond the scope of the agreed deliverables.

• By purchasing services from TLS, the Client acknowledges and accepts this refund policy.

12. Entire Agreement

This document constitutes the entire agreement between TLS and the Client and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

13. Amendments

Any modifications or amendments to this Agreement must be made in writing and signed by both parties.

14. Severability

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

Acknowledgment

By purchasing media production services from TLS, the Client acknowledges they have read, understood, and agree to these terms and conditions.
